About the Role – Company Secretary
We are seeking an experienced and dynamic Company Secretary to lead NT PHN’s corporate governance and compliance functions. You will support the effective operation of the Board of Directors and its sub-committees, ensure compliance with relevant legislation, and play a key advisory role to the Board, CEO, and stakeholders.
This opportunity is a parental leave cover position commencing in September 2025 through to December 2026.
Key Responsibilities
As Company Secretary, you will report directly to the CEO and be responsible for:
- Ensuring compliance with the Corporations Act 2001 (Cth), ACNC Act 2012, and relevant corporate governance frameworks.
- Maintaining statutory registers and managing lodgments with regulators.
- Providing expert governance advice to the Board, Directors, and Executives.
- Overseeing Board and Sub-Committee operations, including meeting coordination, agendas, accurate minutes, and action tracking.
- Managing regulatory compliance reporting and maintaining key governance registers.
- Supporting the Chair, CEO, and Committees with strategic planning, policy development, performance evaluation, and succession planning.
- Ensuring Board materials are timely, focused, and aligned with NT PHN’s strategic priorities.
- Acting as a liaison between the Board, Executive, regulators, and stakeholders.
- Facilitating internal and external audits and supporting ongoing governance improvements.
About You – Skills & Qualifications
We would love to hear from you if you have:
- Postgraduate qualifications in law, governance, or a related field OR equivalent extensive experience.
- Governance Institute of Australia membership (highly desirable).
- Strong expertise in corporate governance and compliance, ideally in a not-for-profit or health care environment.
- In-depth knowledge of the Corporations Act and ACNC Act.
- Experience supporting Boards and managing corporate registers.
- Exceptional organisational and communication skills (written and verbal).
- High-level interpersonal skills and ability to engage a wide range of stakeholders.
- Demonstrated ability to lead business improvement and governance initiatives.
