The Opportunity
Reporting to a Director, Legal, the Manager, Legal will be responsible for assisting the Legal team to provide high quality legal advice and services to the Agency on all matters relating to the organisation’s investment, operations and related business activities.
The role has a particular focus on Australian and offshore structured investment transactions including fund investments, co-investments, joint ventures, direct investments, reconstructions and disposals across a range of asset classes in both public and private markets.
The Manager, Legal will work with the General Counsel, Head of Legal, and Directors, Legal to ensure the organisation’s investment, operations and business activities are conducted in line with international best practice, within the limits prescribed by applicable law and that the organisation’s rights are fully protected through the provision of legal advice and services.
Key Responsibilities
Investment Transactions and Advice
• Provide timely, commercial legal advice and support to the organisation on a range of commercial investment and other transactional arrangements and issues, across different geographies, asset classes, and structures.
• Manage legal aspects of the implementation of public and private markets investment transactions, including the negotiation of transaction terms
• Coordinate aspects of the organisation’s investment management agreements framework
• Ensure compliance with all applicable laws as well as relevant organisational policies, procedures and positions
Continuous improvement and knowledge sharing
• Monitor relevant proposed and new legislation and regulatory developments which may affect the organisation’s activities, and share knowledge accordingly
• Work with the Head of Legal and Directors, Legal to drive continuous improvement of the Legal team function including developing and updating precedents, legal policies, procedures, guidelines and positions
• Participate in, and contribute to, projects or initiatives of strategic importance to the Legal team and the organisation as required
Other legal support
• As required, provide, or otherwise procure and co-ordinate the provision of, timely commercial legal advice and support to the organisation on a range of commercial arrangements and issues
• As required, review, draft and negotiate the organisation’s commercial contracts including consultancy and other services agreements and operational contracts and arrangements
• Work with senior members of the Legal team to manage legal risk in accordance with relevant risk appetites, including through contributing to internal training
Stakeholder management
• Work with other members of the Legal team to develop and manage relationships with external lawyers and other professional advisors, including monitoring and managing legal fees expenditure and promoting efficiencies in the sourcing and use of external legal services
• Liaise with external counsel in relation to the legal aspects of the organisation’s investment, operations and related business activities
• Foster and maintain strong working relationships with key stakeholders, including the internal investment teams, tax team, operations team and procurement team
About You
Qualifications
• A law degree from an Australian tertiary institution or other legal qualification recognised for the purpose of admission to legal practice in Victoria or another State of Australia
• Admitted to practice in Victoria or another State of Australia as a solicitor and be currently eligible to hold a Victorian legal practising certificate
• Post-qualification experience of 5-8 years
Knowledge and Experience
• A commercial transactional lawyer with significant experience gained from a major commercial law firm and/or in-house in a high-quality commercial organisation advising on complex structured transactions, ideally with either or both global investment and funds management law experience
• Excellent drafting and negotiation skills
• Demonstrated legal risk assessment and management experience
• Demonstrated ability to build and manage relationships and to work in partnership with others, as well as operate autonomously
• Demonstrated ability to not only provide legal input into matters, but to also add value from a solutions-focussed, strategic, business point of view
